What Quorum Means in an HOA
Quorum is the minimum number of members, directors, or votes that must be present before a meeting or vote can legally count.
No quorum can mean no valid action, even if the people in the room were unanimous.
Why quorum matters
- Board meetings may require a minimum number of directors.
- Owner votes for elections or amendments may fail without enough participation.
- A low-turnout meeting can create disputes about whether action was valid.
Where to find the quorum rule
Check the bylaws first. Sometimes state law or the governing statute for the community also matters.
Practical question: Ask whether the HOA is talking about quorum for a board meeting, an annual owner meeting, or a ballot vote. Those thresholds are not always the same.
